Terms of Service

1. Acceptance of Terms and Electronic Consent
By accessing or using HubbCentral (“the Platform”) at www.hubbcentral.com, you agree to be bound by these Terms of Service and the related policy documents linked from them. If you do not agree, do not use the Platform.
By creating an account, checking an agreement box, submitting an application, or continuing to use the Platform after updated terms are posted, you consent to transact electronically and agree that your electronic acceptance has the same legal effect as a handwritten signature under the federal E-SIGN Act and Florida's Uniform Electronic Transactions Act.
2. Description of Service
HubbCentral is a service marketplace that connects customers with independent providers and referral partners. HubbCentral facilitates discovery, booking, communication, payouts, and related trust-and-safety processes, but does not directly perform the underlying services offered by independent providers.
3. User Accounts
- You must be at least 18 years old to create an account.
- You are responsible for maintaining the security of your credentials and any activity under your account.
- You agree to provide accurate, current, and complete information and to keep it updated.
- You may not create duplicate, deceptive, fraudulent, or policy-evasion accounts.
- We may suspend, limit, or terminate accounts that violate these Terms or related platform policies.
4. Customer Terms
- You agree to provide accurate addresses, scope details, photos, and booking information.
- Payment is required through approved HubbCentral payment flows.
- You are responsible for providing safe access to the property and truthful dispute information.
- You agree to work through HubbCentral support before initiating avoidable payment disputes.
- You may be responsible for cancellation fees or losses caused by unsafe conditions, false reports, or fraudulent chargebacks.
5. Service Provider Terms
Providers operate as independent contractors, not employees of HubbCentral. In addition to these Terms, providers are subject to the Provider Terms and the Platform Integrity Policy.
- Providers are responsible for the legality, quality, safety, timeliness, and accuracy of their services, listings, and communications.
- Providers must maintain any licenses, insurance, permits, and certifications required for their work and provide proof upon request.
- Provider payouts are processed through Stripe Connect and remain subject to Stripe's connected account agreement and HubbCentral payout rules.
- Provider-caused refunds, reversals, disputes, chargebacks, fines, and investigation costs remain recoverable from the provider.
- Where permitted by law and the Stripe/HubbCentral payout flow, HubbCentral may delay, withhold, offset, reserve, or recover provider payouts to cover provider-caused losses.
- Providers must cooperate promptly with evidence requests, safety reviews, fraud investigations, and customer-support inquiries.
6. Referral and Recruiter Programs
Referral, recruiter, and B2B commission programs are governed by the Referral Program Terms.
- Commissions are earned only on verified, completed, paid jobs and never on signups alone.
- Referral commissions are funded from HubbCentral's platform fee, subject to program rules, minimum platform retention, and rate priorities.
- Referral commissions are taxable income and may require W-9, W-8BEN, or similar tax documentation before release.
- When HubbCentral provides a secure tax-document upload workflow, users must use that workflow instead of placing SSNs, EINs, or similar taxpayer-identification values into general chat, outreach, or free-text workflow fields, and must submit any corrected replacement document that HubbCentral reasonably requests during review.
- HubbCentral may begin internal tax-compliance review once referral earnings approach $500, and additional documentation may be required before any external disbursement is released.
- Reportable tax forms may still become required at different legal thresholds, including the $600 nonemployee-compensation threshold that commonly applies to Form 1099-NEC.
- Referral invitations must be permission-based, truthful, and compliant with anti-spam, privacy, and platform-integrity requirements.
- Fraudulent, circular, self-dealing, or manipulated referral activity may result in reversal, forfeiture, suspension, or termination.
7. Payments, Refunds, and Marketplace Risk
All payments are processed through Stripe or another approved processor. Refunds and payment disputes are governed by the Refund & Dispute Policy.
- For marketplace payment operations, Stripe may treat HubbCentral as the platform responsible for refunds, chargebacks, reversals, and negative balances on the payment rails.
- That payment-rail treatment does not relieve providers of responsibility for provider-caused service failures or payment losses.
- Provider-caused payment losses remain recoverable from the provider by HubbCentral.
8. Prohibited Activities
- Illegal conduct, fraud, threats, harassment, discrimination, or unsafe behavior.
- Off-platform circumvention of bookings, payments, referral attribution, or other platform controls.
- Fake accounts, self-referrals, circular referral chains, fabricated jobs, or manipulated disputes.
- Unapproved scraping, reverse engineering, or abusive automation against the Platform.
9. Indemnification
You agree to defend, indemnify, and hold harmless HubbCentral, its affiliates, officers, employees, and agents from and against third-party claims, losses, damages, liabilities, judgments, penalties, and reasonable attorneys' fees arising out of or related to your services, conduct, listings, communications, policy violations, fraudulent disputes, unsafe property conditions, or breach of these Terms or related policy documents.
10. Limitation of Liability
HubbCentral is a marketplace platform and does not guarantee the legality, quality, safety, or availability of independent providers' services. To the fullest extent permitted by law, HubbCentral is not liable for indirect, incidental, special, consequential, or punitive damages arising from platform use, bookings, or services.
Except where prohibited by law, HubbCentral's aggregate liability to you for all claims will not exceed the greater of (a) the platform fees you paid HubbCentral in the 12 months before the claim or (b) $100. This limitation does not apply to indemnification obligations, intellectual property claims, gross negligence, willful misconduct, or liabilities that cannot be limited under applicable law.
11. Dispute Resolution
Before either party initiates formal proceedings, you agree to contact HubbCentral at support@hubbcentral.com and attempt informal resolution for at least 30 days.
If informal resolution fails, disputes arising from these Terms or your use of the Platform will be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules in Miami-Dade County, Florida, unless the parties agree otherwise.
- Either party may bring an individual claim in small claims court if the claim qualifies for that court's jurisdiction.
- HubbCentral will pay arbitration filing fees for claims under $10,000, subject to AAA rules and good-faith claim requirements.
- You agree to resolve disputes on an individual basis only and waive class, collective, and representative proceedings to the fullest extent permitted by law.
- You may opt out of this arbitration provision by emailing legal@hubbcentral.com within 30 days of account creation.
12. Suspension and Termination
HubbCentral may suspend, limit, or terminate access to the Platform for fraud, policy violations, non-cooperation, payment-risk concerns, legal exposure, or any other good-faith trust-and-safety or operational reason. Termination does not eliminate obligations that accrued before termination.
13. Assignment, Severability, and Survival
You may not assign these Terms without HubbCentral's prior written consent. HubbCentral may assign these Terms as part of a merger, financing, restructuring, or sale of assets. If any provision is held unenforceable, the remaining provisions remain in effect. Payment, indemnification, dispute resolution, limitation of liability, and other provisions that by their nature should survive termination will survive.
14. Modifications
We may update these Terms from time to time. Material changes will be communicated by email, prominent platform notice, or both. Continued use of the Platform after the effective date of updated Terms constitutes acceptance of the revised Terms.
15. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.
